1. Acceptance
These Terms of Use govern your access to and use of the Portage Systems website at portage.systems (the "Site"). By using the Site, you agree to these terms. If you do not agree, please do not use the Site.
2. Permitted use
The Site is provided for general informational purposes about Portage Systems and its products. You may view and share the content for lawful, non-commercial purposes. You agree not to interfere with the Site, attempt to gain unauthorized access, scrape it in a way that burdens our infrastructure, or use it to send unsolicited communications.
3. Intellectual property
The Site and its contents, including text, layout, graphics, logos, and the "Portage Systems," "Lena," "Banneker," "Quill Roster," and "Ethel" names, are owned by Portage Systems or its licensors and are protected by intellectual property laws. Nothing on the Site grants you any license or right to use those materials except as expressly permitted here.
4. Third-party links and product applications
The Site links to third-party websites and to the individual Portage Systems product applications (Lena, Banneker, Quill Roster, and Ethel). Third-party sites are not under our control and we are not responsible for their content or practices. Each Portage Systems product application is governed by its own terms of service and privacy policy, which apply to your use of that application and any account you create there. These Site terms do not govern your use of those applications.
5. No warranties
The Site is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Site will be error-free or free of harmful components.
6. Limitation of liability
To the fullest extent permitted by law, Portage Systems and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site. Our aggregate liability for any claim relating to the Site will not exceed one hundred United States dollars.
7. Governing law
These terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in the State of Minnesota for any dispute arising out of or relating to the Site or these terms.
8. Changes
We may update these terms from time to time. When we do, we will update the effective date above. Your continued use of the Site after any change means you accept the revised terms.
